Appendix IV

Appendix IV Rate and Billing Agreement

1 Price list

1) Storage: RMB0.5/CBM/Day

2) Trucking unloading, Sorting & Put away: RMB5/CBM (RMB4 if truck unloading is not included)

3) Pick/Pack & Truck loading: RMB5/CBM

4) Shrink Wrapping: RMB3/Pallet (including material and labor cost)

5) Trucking from Baowan Warehouse to Minhang Store (Including unloading labor charge at store): RMB25/Pallet (RMB300/Truck)

Note:

· · Truck type is 5 MT lorry truck with the 12 pallet loading capacity.

· · All rate quoted is tax included.

2 Penalty

2.1 Penalty for waiting time

For any reason dependent form XX’s responsibility, such as dock and team not ready at appointed time, the waiting time of truck, before starting unloading, is over 2 hours, every extra fully 30 minutes will be charged by XX to XX at the rate of RMB50/30min.

For any reason dependent from XX’ responsibility, if the truck arrival time is over 30 minutes later than appointed, every extra fully 30 minutes will be charge by XX to XX at the rate of RMB30/30min.

2.2 Penalty for compensations

XX compensate to SHANGHAI XX CO., LTD. according the XX stores’ purchase price with VAT for the goods missing, damage, quantity discrepancy etc after XX receiving goods from suppliers before store receiving.

3 Billing Procedures:

1. XX agrees to remunerate XX on the basis of the above-mentioned rates agreed to by both parties for actual work performed

2. XX will provide by the 3^rd of every month an invoice by mail indicating the number of transports, warehousing activities and corresponding charges for the previous month to XX. XX will confirm the accuracy within two working days and pay XX with a payment term of 25 calendar days

附录四费用和计费协议

4 价格表

1) 贮藏：0.5元人民币/立方米/天

2) 货车装货，分类及摆货：5元人民币/立方米（若不包括货车装货则为4元人民币）

3) 取件和包装及货车装货：5元人民币/立方米

4) 收缩包装：3元人民币/货盘（包括材料和劳工费用）

5) 宝湾物流仓库至闵行店的货车运输（包括超市卸载劳力费用）：人民币25元/货盘（人民币300元/货车）

备注:

· · 卡车型号为5吨级负荷容量为12货盘的货运卡车

· · 所有报价已计税

5 罚款

5.1 待时罚款

由XX一方责任原因引起的诸如场站及人员团队没有在指定时间准备就绪，卸载前等待货车时间超过2小时，那么每超出30分钟，XX物流将以50元人民币/30分钟的费率对XX进行罚款。

由XX物流一方责任原因，若货车到达时间迟于指定时间30分钟，那么每超出30分钟，XX将以30元人民币/30分钟的费率对XX物流进行罚款。

5.2 赔偿罚款

XX物流从供货商收货后，若在发货至XX前出现缺货、损货或数量不一致等情况时，那么XX物流按照XX的进货价格和增值税向上海XX有限公司进行赔偿。

6 计费程序

3. XX同意在上述双方达成的费率基础上按实际工作对XX进行支付。

4. XX将于每月3号邮寄标明上月的运输数量、仓储作业和相应费用的发票至XX；XX则在两个工作日内对其准确性进行确认并以25个历日作为支付期向XX进行支付。

见证人特此证明，该协议已被XX（中国）投资有限公司于以下书写日期执行。
